In a fast-paced transaction ahead of the summer season, Mandelbaum Barrett PC advised on the acquisition of a prominent waterfront bar and restaurant along the Jersey Shore. Representing the purchaser, our team handled a layered deal structure that included both the real estate and business components of the transaction, as well as the transfer of a liquor license. The matter drew on experience across HospitalityReal EstateCorporate, Regulatory, and Environmental law.

The bayfront location added a level of complexity, requiring careful analysis of riparian rights and environmental considerations tied to waterfront ownership and use. At the same time, the parties were working toward a firm pre–Memorial Day closing date, an important milestone to ensure uninterrupted operations heading into peak season.

To meet these demands, the Firm assembled a cross-functional team, including Damian P. ConfortiJeffrey W. CappolaOwen T. HughesShawn R. McClelland, and Natalie C. Diaz. Working closely together, the group managed due diligence, negotiated key agreements, coordinated regulatory approvals, and addressed environmental issues as they arose.

The deal ultimately closed on schedule, allowing the client to step into ownership and continue operations without missing the start of the summer season.

This transaction reflects Mandelbaum Barrett PC’s 360-degree approach, bringing together attorneys across disciplines to provide practical, business-focused guidance.
