With more than 20 years of experience as a corporate attorney, executive, and business advisor, David J. Welch counsels companies, investors, and family offices on corporate transactions, business strategy, governance, and growth.

David is a Partner in Mandelbaum Barrett PC’s Corporate Practice Group, where he serves as a trusted advisor to businesses, investors, and family offices on strategic legal and business matters. He acts as outside general counsel to many clients, helping them navigate critical decisions, manage risk, and execute growth initiatives while coordinating multidisciplinary legal teams to address their evolving needs.

David advises companies and their owners on a broad range of matters, including entity structuring and ownership, financing, commercial agreements, employment and intellectual property issues, board and shareholder governance, disputes, and mergers and acquisitions. As the primary relationship attorney, he coordinates his clients’ legal needs, bringing in the firm’s tax, real estate, litigation, labor and employment, healthcare, and data privacy teams as matters demand.

David began his career as a securities and financial-services litigator, representing pension funds, institutional investors, hedge funds, and broker-dealers in federal securities class actions, FINRA arbitrations, and SEC regulatory proceedings. He was in-house at a data analytics startup, from pre-revenue through its acquisition, and was General Counsel and Chief Operating Officer of a quantitative hedge fund. As a Managing Director of a risk advisory firm, his clients were private equity funds, hedge funds, corporations, and AmLaw 100 law firms. He has also served as General Counsel and Operating Partner of a technology-focused acquisition firm, General Counsel and a board director of a venture-backed enterprise software company, and outside counsel to a venture capital firm.

Having operated as an executive, board member, and business principal, David brings a practical, commercially grounded perspective to every engagement. He maintains an active network across the startup and investment community, including venture capital and private equity firms, family offices, hedge funds, and accelerators.
