Mandelbaum Barrett PC’s Partners Joel MacMull and Brian Block achieved a significant legal victory today in the New Jersey Superior Court. The case involved two clients who were wrongfully sued by a minority member of their company and an attorney who falsely claimed to represent the corporate entity.
The Court ruled in favor of Joel and Brian by granting their motion to dismiss the lawsuit filed by the company. The dismissal was based on the grounds that the company’s lawsuit lacked proper authorization. Additionally, the Court dismissed the claims brought by the minority member because he did not pursue the lawsuit in a derivative manner, which meant he lacked the standing to bring the claims individually.
Furthermore, the Court disqualified the attorney from representing both the company and the minority member. The disqualification was due to the attorney’s lack of authority to represent the entities and a concurrent conflict of interest that undermined his ability to represent either party effectively.
This case presented issues regarding authority within a Limited Liability Company (LLC) framework and addressed novel legal questions that had not previously been decided in New Jersey.
